Terms of Use
Please read these terms: they limit our liability and explain your responsibilities when you deal with local businesses.
1. Agreement
These Terms of Use (the “Terms”) are a contract between you and Local Finder LLC, the company that operates Permian Finder (“we,” “us,” and “our”). They apply to https://permianfinder.com and every page, form, listing, badge, and feature on it (together, the “Service”).
By using the Service, you agree to these Terms, our Privacy Notice, and our Disclaimer, which are part of this agreement. If you do not agree, do not use the Service.
2. Who may use the Service
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service for a business or organization, you promise that you have authority to bind it, and “you” includes that business or organization.
Do not use the Service if you are barred from doing so by law.
3. Changes to these Terms and to the Service
We may update these Terms from time to time. The “Last updated” date above shows the current version. If a change is material, we will say so on this page or on the pages it affects. Using the Service after a change takes effect means you accept the new Terms. If you do not agree to a change, stop using the Service.
We may add, change, suspend, or remove any part of the Service, including categories, covered ZIP codes, features, and listing tiers, at any time. Changes to our coverage area, towns, ZIP codes, categories, or the number of Priority spots, including adding new areas that bring more businesses into a category, do not entitle you to a refund, credit, or price change. We are a new service, and things will change.
4. What the Service is, and what it is not
Permian Finder is an online directory of local businesses in the Permian Basin. It helps people find businesses and helps businesses be found. That is all it does.
We are not a contractor, tradesperson, real estate agent or broker, lender, insurer, attorney, health care provider, or referral or placement agency. We do not perform, supervise, guarantee, or take part in any work or service a listed business offers. We are not a party to any agreement between you and a business. A quote request, claim request, or form submission on the Service is not a contract with us for any service.
Pages of the Service may show example material. A card marked Sample Priority listing shows where a Priority listing would appear. It is not a real business, an offer, or an endorsement.
Permian Finder shows no ratings or reviews. Nothing on the Service, and no gap in what it shows, is a statement about the quality of any business.
5. No endorsement and no vetting
Appearing on the Service is not a recommendation, endorsement, or certification of any business, person, product, or service. Apart from the limited checks that earn the Locally Verified badge (section 6), we do not vet, screen, inspect, or investigate businesses for licensing, insurance, bonding, qualifications, quality of work, pricing, financial condition, background, reputation, or safety, and nothing on the Service says otherwise. Listings are shown in a set order (sponsored placements first, labeled Sponsored, then others). Order does not measure quality.
Listing information comes from public sources and from business owners. It may be wrong, incomplete, or out of date. Hours, services, phone numbers, addresses, and service areas can change without notice.
6. The Locally Verified badge
“Locally Verified” has a narrow meaning. It means that, when we last checked, we had completed these checks on the listing’s business: (a) real local presence, meaning a Texas address or a real service area that includes a ZIP code covered by Permian Finder, and a working local phone number; (b) where the law requires a license for the work, an active license shown in the issuing state agency’s public license lookup; (c) active business status with the Texas Secretary of State or the Texas Comptroller; and (d) a responsiveness test, meaning a test quote request sent to the business that it answered within a few business days. For trades where it matters, we may also have asked the business for proof of insurance. The criteria are described on the Locally Verified page.
The badge means these checks were done at a point in time. It is not an endorsement, recommendation, guarantee, or warranty of any business or of its work, prices, or quality, and it does not mean the business is licensed, insured, or qualified for your particular job, background-checked, safe, or in good standing with any court, agency, or customer. We rely on public records and on what businesses tell us, and those can be wrong or out of date. Permian Finder shows no ratings or reviews, and the badge is not a score. It is not for sale.
We may re-check any business at any time, including by sending a test quote request. We may suspend or remove the badge from any listing, with or without notice, for example when a license is not active, when the business is not active with the state, when a test quote request goes unanswered for several business days, when requested proof of insurance is not provided, when a business moves out of the covered ZIP codes, when information is inaccurate, or when these Terms are broken. A badge reflects checks at one moment and may be out of date. An owner who believes a badge was denied or removed in error can appeal by emailing support@permianfinder.com.
7. Your dealings with businesses are your responsibility
Any contact, quote, agreement, payment, or work between you and a business is only between you and that business. We are not responsible for what a business does or fails to do, or for what you do or fail to do.
Before you hire or deal with any business, you are responsible for doing your own research, including checking that the business and the people who will do the work hold every license, registration, and permit that the law requires; confirming it carries the insurance (and, where relevant, bonding) you want; getting a written estimate or contract that states the scope, price, schedule, warranty, and payment terms; understanding who will pull any needed permits; and checking references and prior work. Do not pay large amounts before work begins unless you are comfortable doing so and have it in writing.
Texas requires licenses for many trades and professions. For example, electricians and air conditioning and heating contractors are licensed by the Texas Department of Licensing and Regulation (license search), plumbers by the Texas State Board of Plumbing Examiners (tsbpe.texas.gov), and real estate license holders by the Texas Real Estate Commission (trec.texas.gov). Other trades and professions may also require licenses, registrations, or permits, and requirements can change or depend on the job and the city. We do not check these beyond the license lookup described in section 6, and that lookup covers only the license type that applies to the business’s listed trade. Confirm what applies to your job with the relevant state or local agency.
In an emergency, call 911. Do not use the Service to look for emergency help.
8. Basic listings “Not yet claimed” and removal requests
Some listings are created by us from public business information (such as name, category, town, and address) and are marked Not yet claimed. Their appearance does not mean the business asked to be listed, knows about the listing, or has any connection with us. They carry no badge, no paid placement, and no contact buttons.
The owner of a business, or a person authorized to act for it, can claim an unclaimed listing for free using the claim form, or ask for it to be removed using the removal request page. Every removal request is checked by a person before anything changes. We confirm that you speak for the business (for example, by email from the business’s own domain or by a one-time code sent to the business’s own public contact). Requests we cannot verify are ignored and the listing stays.
We aim to respond to claim and removal requests within 10 business days. That is a goal, not a promise or a deadline, and we are not liable if it takes longer. Once a request is verified, we remove the listing from the Service. Removal does not delete copies held by search engines, caches, archives, or other websites, which we do not control, and it does not remove information from the original public sources. We keep a minimal record of removal requests so that we do not re-add a business that asked to be removed, unless its authorized owner later asks us to list it.
9. Business owners: claims and listings
If you claim, add, suggest, or manage a listing, you promise that: (a) you are the owner of the business or are authorized to act for it, and you will give us proof if we ask; (b) everything you give us is accurate, complete, current, and not misleading, and you will keep it current; (c) you have the right to give us all text, logos, photos, and other material you submit; (d) your business is located in, or truly serves, the ZIP codes covered by Permian Finder; and (e) your business and your listing comply with all laws that apply, including licensing, advertising, consumer protection, and anti-discrimination laws.
You must not file a claim for a business you do not own or represent, impersonate anyone, or use someone else’s name, logo, or photos without permission.
You give us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, resize, format, display, and distribute the content you submit, for as long as it is on the Service and for a reasonable period afterward, to operate, display, and promote the Service. You keep your ownership of your content. Do not submit photos that show identifiable people unless you have their permission.
We may refuse, edit for format, decline to publish, downgrade, suspend, or remove any claim, listing, content, tier, or badge at any time, for any reason, including inaccurate information, a failed or lapsed local check or responsiveness test, suspected fraud, complaints, legal risk, or breach of these Terms, with or without notice. If we remove a paid placement for a reason other than your breach, we will handle any fees already paid as described in the placement terms in the next section.
10. Basic, Featured, and Priority listings; Sponsored placements
Listings come in three tiers: Basic, Featured, and Priority. Featured and Priority are sponsored placements: placements that are paid for, or otherwise arranged with us by the business. They are listed above Basic listings (Priority first, then Featured) and are labeled Sponsored. A Sponsored label means the position is not an editorial choice. It does not mean we recommend the business. Paid placements are available only to listings that have passed the local check.
Featured and Priority are billed monthly through our payment processor, Stripe. The current price, billing period, renewal, cancellation, and refund terms are shown on the Pricing page and at checkout before you pay, and apply to that purchase. Prices and tiers are subject to change, and a change will not raise the price of a billing period you have already paid for.
Renewal and cancellation. Paid plans renew monthly until canceled. You can cancel anytime at https://billing.stripe.com/p/login/28E14ncvu5Js3R4gXD28800 or by emailing support@permianfinder.com. Cancellation takes effect at the end of the current paid period; your upgrade stays active until then and you won't be charged again. We don't give partial-month refunds.
Price changes. We may change plan prices. We will email you at least 30 days before a new price applies, and it takes effect at your next renewal after that notice. If you don't agree, you can cancel before then in the billing portal and keep your plan through the end of the paid period.
Changes to or ending the service. We may change, suspend, or discontinue Permian Finder, or any part of it, at any time, with or without notice. If we discontinue a paid plan, we will refund the payment for your current billing period in full to your original payment method, or as otherwise agreed with you. That refund is your sole remedy. This is the only case in which we refund a billing period; it does not change the no partial-month refund rule when you cancel. To the fullest extent permitted by law, we are not liable for any lost profits, lost revenue, lost customers or leads, advertising or marketing costs, or other indirect or consequential losses from any change, interruption, or discontinuation of the service. Placement in the directory does not guarantee any number of views, calls, leads, or sales.
We do not guarantee any number of views, clicks, calls, leads, customers, revenue, rank, or position. We may change how listings are ordered, labeled, or displayed. Links to the websites of paid listings are marked as sponsored (rel=“sponsored”).
Pay-per-lead and similar features are not available. If they launch, they will have their own written terms.
11. Badge, sticker, and mark license
“Permian Finder,” “Locally Verified,” our logos, badge, and any stickers, QR codes, or window decals we supply are our marks and materials. A business that is currently Locally Verified may display the badge or a sticker we supply to show that status for as long as it stays verified, and only for its own verified business, in the form we provide, and without suggesting that we endorse its work or that it holds licenses or insurance. This is a limited, personal, non-transferable, revocable license that we may end at any time. When verification ends or we revoke it, you must stop using the badge, stickers, and QR codes and take them down.
Using the badge, a sticker, or a QR code when you are not currently Locally Verified, copying or altering them, or giving them to someone else is not allowed.
12. What you send us (quote requests, tryouts, suggestions, and other forms)
The Service has forms for quote requests, claims, removal requests, tryout postings, audit and report requests, suggestions, notify-me and waitlist sign-ups, and the like. What you send is a “Submission.” Only send information you have the right to send and are comfortable sharing. Do not send payment card numbers, government ID numbers, passwords, medical information, or other sensitive information.
You give us a worldwide, non-exclusive, royalty-free license to use, store, copy, and display your Submission to run and improve the Service, to check it, to respond to it, and, where your Submission is a request meant for a business, to pass it to that business or similar businesses. For tryout and suggestion Submissions, we may publish the non-contact details on the Service after we check them. We process personal information as described in our Privacy Notice.
We are not required to respond to, publish, or act on any Submission. A person at our end reads Submissions, and we do not send automatic confirmation emails. If you need a response in an emergency, call 911 or the right professional.
13. Prohibited conduct
You agree not to:
- break any law or any person’s rights, or use the Service for an unlawful, fraudulent, deceptive, harassing, or defamatory purpose;
- post fake, misleading, or unauthorized listings, claims, or removal requests, or pretend to be a business, owner, or person you are not;
- scrape, crawl, harvest, copy, or bulk-download the Service or its listings, or use bots or automated means to access it, except for ordinary search engine indexing that we allow, or as we approve in writing;
- use the Service’s data to send unsolicited commercial messages, to build a competing directory, or to resell or republish listings;
- use the Locally Verified badge, stickers, or QR codes without being currently verified, or misrepresent your status;
- submit malicious code, overload or interfere with the Service, or try to get around any security, access, or rate control;
- submit forms for others without their consent, or send spam or false requests through the forms; or
- post content that infringes intellectual property or privacy rights, or that is hateful, obscene, or threatening.
We may investigate and take any action we think is appropriate, including removing content, blocking access, ending your use, and reporting to law enforcement.
14. Links, advertising, and third-party content
The Service links to websites and services run by others, including business websites and government websites. We do not control them, are not responsible for them, and do not endorse them. Your use of them is at your own risk and under their terms. Links to sponsored listings are marked as sponsored. Any advertising or sponsored material is identified as such. We may earn money from paid placements and may in the future earn money from other advertising or referral arrangements.
15. Copyright and other intellectual property complaints
We respect intellectual property rights and ask others to do the same. The Service, its design, text, code, and compilation of listings are owned by us or our licensors, and are protected by law. You may view and use the Service for your own personal, non-commercial purposes and as these Terms allow. All other rights are reserved.
If you believe material on the Service infringes your copyright, send a written notice (see 17 U.S.C. § 512(c)(3)) to support@permianfinder.com that includes: (1) your physical or electronic signature; (2) a description of the copyrighted work you claim is infringed; (3) the exact web address (URL) of the material on the Service and enough detail for us to find it; (4) your name, mailing address, telephone number, and email address; (5) a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act for the owner.
We may remove or disable access to the material and notify the person who submitted it. That person may send a counter-notice to the same email address with the information the law requires. In appropriate circumstances, we may end the access of people who repeatedly infringe. Knowingly sending a false notice or counter-notice can have legal consequences. For trademark or other complaints, email us with the web address, a description of the problem, and your contact details.
16. Email and other communications
We do not send marketing email to consumers unless they have asked for it. If you give us your email address for a specific purpose, such as a notify-me sign-up, we use it for that purpose. We reply to messages you send us and may send service messages related to something you asked for (for example, a claim or removal request).
If we contact a business owner about a listing or about claiming it, the message will say who we are, include our mailing address and a working unsubscribe link, and we will honor your opt-out. You can opt out of marketing email at any time using the link in the message, on our unsubscribe page, or by emailing support@permianfinder.com. We keep a suppression list so that we do not email an opted-out address again.
By giving us your email address or phone number, you agree that we may contact you about your Submission. We do not send text messages.
17. Disclaimer of warranties
THE SERVICE, ALL LISTINGS, BADGES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, TIMELINESS, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT ANY LISTING OR INFORMATION IS ACCURATE OR CURRENT; THAT ANY BUSINESS IS LICENSED, INSURED, QUALIFIED, SAFE, OR RELIABLE; OR THAT YOU WILL GET ANY RESULT, LEAD, CUSTOMER, OR RANK FROM USING THE SERVICE.
Some places do not allow the exclusion of certain warranties, so some of this may not apply to you. In that case, the exclusions apply to the fullest extent the law allows.
18. Assumption of risk
Hiring a business or meeting a stranger, including in your home, involves risk. You use the Service and deal with any business listed on it at your own risk. You accept sole responsibility for your choices and for the results, and you agree to use your own judgment and take reasonable precautions.
19. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, WE AND OUR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND UNDER ANY THEORY OF LIABILITY.
TO THE FULLEST EXTENT THE LAW ALLOWS, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.
WE ARE NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, WORK, PRODUCTS, OR STATEMENTS OF ANY BUSINESS, OR FOR ANY DAMAGE, INJURY, DEATH, OR LOSS RESULTING FROM YOUR DEALINGS WITH ANY BUSINESS FOUND OR LISTED ON THE SERVICE.
These limits apply to every kind of claim, whether in contract, tort (including negligence), statute, or otherwise. They do not limit liability that cannot be limited by law, such as liability for fraud or willful misconduct. Some states do not allow certain limits on liability, so some of these limits may not apply to you, and you may have other rights that vary by state. The limits reflect the free or low-cost nature of the Service and are a basic part of this agreement.
20. Indemnification
You agree to defend, indemnify, and hold harmless us and our members, managers, officers, employees, contractors, and agents from and against any claims, demands, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your Submissions and content, including any claim that they are inaccurate or infringe or violate someone’s rights; (b) your use of the Service or your breach of these Terms or the law; (c) your claim to a business you do not own or represent; and (d) your dealings or disputes with any business, customer, or other person. We may take over the defense of any matter at our own expense, and you will cooperate. You may not settle a claim that imposes obligations on us without our written consent. If you use the Service only as a consumer, this section applies to the extent permitted by law.
21. Suspension and termination
We may suspend or end your access to the Service, or remove any listing, content, tier, or badge, at any time, with or without notice or reason. You may stop using the Service at any time, and a business may ask us to remove its listing as described in Section 8. Sections that by their nature should survive (including 5, 7, 9 through 12, 15, and 17 through 24) will survive any end of your use.
22. Governing law, informal resolution, and courts
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of the State of Texas and applicable federal law, without regard to conflict-of-law rules.
Talk to us first. Before filing a claim, you agree to send a written notice of the dispute to support@permianfinder.com that describes the problem and what you want, and to try in good faith to resolve it informally for at least 30 days. We will do the same. This step is a condition to filing a claim, except for claims for urgent court orders to prevent harm and claims described in the next paragraph.
Courts. If a dispute is not resolved within 30 days, it must be brought only in the state or federal courts located in Tarrant County, Texas, and you and we consent to the personal jurisdiction of and venue in those courts. Small claims. Either of us may instead bring an individual claim in small claims court (in Texas, a justice court) if the claim qualifies. We do not require arbitration and these Terms do not contain a class action waiver.
23. General terms
- Entire agreement. These Terms, the Privacy Notice, the Disclaimer, and any written terms for a paid placement make up the whole agreement between you and us about the Service. They replace earlier statements about it. If they conflict, the specific terms for a paid placement control for that purchase, and otherwise these Terms control.
- Severability. If a part of these Terms is found unenforceable, that part will be enforced to the extent allowed, and the rest remains in effect.
- No waiver. If we do not enforce a right, that is not a waiver of it. A waiver is effective only if it is in writing and signed by us.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them, including in a merger, sale of the business or its assets, or reorganization.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, such as natural disasters, power or internet failures, outages of hosting or other providers, labor disputes, government action, or attacks on the Service.
- No third-party beneficiaries; relationship. These Terms create no third-party rights, and nothing in them makes you and us partners, joint venturers, agents, or employer and employee.
- Notices. We may give notice by posting on the Service or by email to an address you gave us. You may give notice to us at support@permianfinder.com.
- Headings and interpretation. Headings are for convenience only. “Including” means “including without limitation.”
